These Terms of Service (“Terms”) govern access to and use of websites, portal software, APIs and mobile apps operated by PRIME AX LTD (“Prime”, “we”, “us”), including https://prime.ax and https://portal.prime.ax.
By creating an account, purchasing a product, or using the services, you agree to these Terms. If you use Prime on behalf of an organisation, you confirm you are authorised to bind that organisation.

2. Services
Prime provides business software and managed digital services which may include, depending on what you purchase or are entitled to: websites and hosting, domains, business mail, phone, Workspace/CRM, invoicing and payments, support tickets, eSign, Identity verification, eSIM products, and Safety features in the Prime / Safety apps.
Features available to you depend on your plan, entitlements and configuration. We may improve, change or discontinue features with reasonable notice where practicable.
3. Accounts and access
- You must provide accurate registration details and keep credentials confidential.
- You are responsible for activity under your account and for users you invite into your organisation.
- Organisation administrators control access within their tenant, including who may use Safety or other privileged tools.
- We may suspend or restrict access to protect security, prevent abuse, or where fees are unpaid.
4. Acceptable use
You must not:
- use the services unlawfully or to harm others;
- attempt unauthorised access to systems, accounts or data;
- abuse mail, phone, messaging or Safety alerting (including false SOS / medical alerts);
- upload unlawful, infringing or malicious content;
- resell or misuse the platform except as expressly agreed in writing.
5. Customer content and Workspace data
You retain rights in content and business data you submit (including CRM records, mail content you control, tickets, documents and Safety care information). You grant us a limited licence to host, process and display that content solely to provide the services.
You are responsible for having a lawful basis to upload personal data about your customers, staff or contacts into Prime.
6. Payments
- Fees are as shown at purchase or in your order / invoice.
- Card payments are processed by payment processors. You authorise us and our payment processors to charge applicable amounts.
- Unless stated otherwise, prices are in GBP and may be subject to VAT.
- Late or failed payment may result in suspension of paid features.
7. Safety features — important limitations
Safety tools (including location sharing, check-ins, journeys, SOS and medical alerts, and desk response features) are assistance and coordination tools. They are not a substitute for the emergency services. In a life-threatening emergency in the UK you should still call 999 (or the local emergency number where you are).
Availability depends on device permissions, network connectivity, push delivery, entitlement status and configuration. We do not guarantee that an alert will be received, acted on, or responded to within any particular time.
8. Third-party services
Some features rely on third-party providers (for example payment processors, communications providers, device push notification services, hosting / DNS / infrastructure providers, and map / geocoding providers). Their terms and availability may affect the service. We are not responsible for outages or changes outside our reasonable control.
9. Intellectual property
Prime software, branding and site content are owned by us or our licensors. You may not copy, reverse engineer or exploit them except as allowed by law or written agreement.
10. Confidentiality and privacy
Our handling of personal data is described in the Privacy Policy. Each party should keep the other’s non-public information confidential except where disclosure is required to perform the contract or by law.
11. Warranties and liability
Services are provided with reasonable care and skill. Except as required by law, we do not warrant uninterrupted or error-free operation.
Nothing in these Terms excludes liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be limited under English law.
Subject to the above, our total aggregate liability arising out of or in connection with the services in any 12-month period is limited to the fees you paid us for the affected services in that period. We are not liable for indirect or consequential loss, loss of profits, goodwill, or data to the extent permitted by law.
12. Suspension and termination
You may stop using the services and request account closure via support. We may suspend or end services for material breach, unlawful use, or non-payment. Provisions that by nature should survive (including liability limits, IP and confidentiality) will survive termination.
13. Changes
We may update these Terms by posting a revised version on this page and updating the “Last updated” date. If a change is material we will take reasonable steps to notify account holders. Continued use after the effective date constitutes acceptance.
14. Governing law
These Terms are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction, except that consumers in the UK may benefit from mandatory local protections where applicable.
